Forms of Business Organisation

Private Limited Company

Number of partners/shareholders: One or several partners.
Minimum and/or maximum capital: DZD 100,000 divided into shares (DZD 1,000 by shares) minimum total subscribed and released.
Liability: Liability is limited to the amount contributed.
Release of financial documents: Yes.

Joint-stock Company

Number of partners/shareholders: Minimum seven shareholders.
Minimum and/or maximum capital: DZD 1 million.
Liability: Liability is limited to the amount contributed.
Release of financial documents: Yes.

General Partnership

Number of partners/shareholders: Minimum two partners.
Minimum and/or maximum capital: No minimum capital.
Liability: Liability is joint and several, and indefinite.
Release of financial documents: No.

Partnership limited by shares

Number of partners/shareholders: Two types of partners – active partners and sleeping partners.
Minimum and/or maximum capital: No minimum capital.
Liability: Active partners' liability is joint and several. Liability of sleeping is limited to the amount contributed.
Release of financial documents: No.

Registration & Licensing Procedures

First, registration with the Trade Register is compulsory prior to any commercial activity in Algeria. The operator has to contact the National Centre of the Trade Register (CNRC). The registration fees amount to DZD 4,000 (stamps) and DZD 3,950 (common law).
